Welcome to evrstacks ("Service"), operated by evrstacks ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our AI-powered customer support platform, including the embeddable chat widget, dashboard, and related features. By creating an account or using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

1. Eligibility

  • You must be at least 18 years old to use the Service.
  • You must have the legal capacity to enter into binding agreements.
  • If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Account Registration

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • We may suspend or terminate accounts that violate these Terms.

3. Subscription Plans & Billing

A. Plans

We offer subscription plans with varying features, message limits, tenant allowances, and AI model access. Plan details are displayed at the time of purchase and on your account dashboard.

B. Message Limits

Each plan includes a monthly message allowance. Messages are counted when end users interact with your chat widgets. Message counts reset at the beginning of each billing period. Unused messages do not roll over.

C. Renewals

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time through your account settings.

D. Refunds

Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to technical issues, please contact us at evermed@evermedresearch.org.

4. Acceptable Use

You agree NOT to use the Service to:

  • Violate any laws or regulations.
  • Transmit harmful, offensive, or illegal content.
  • Harass, threaten, or abuse any person.
  • Infringe on intellectual property rights of others.
  • Attempt to gain unauthorized access to the Service or other accounts.
  • Interfere with or disrupt the Service or servers.
  • Reverse engineer, decompile, or extract source code from the Service.
  • Use automated systems (bots, scrapers) to abuse the Service without permission.
  • Resell or redistribute the Service without authorization.
  • Mislead end users about the nature of AI-generated responses.

5. AI-Generated Content

The Service uses AI to generate responses to customer inquiries. AI-generated content:

  • May contain errors, inaccuracies, or outdated information.
  • Should not be relied upon for medical, legal, financial, or other professional advice.
  • Is based on the product information and guidelines you provide.
  • May occasionally produce unexpected or inappropriate responses.

You are responsible for reviewing AI-generated content and ensuring it meets your quality standards before it reaches your customers. We recommend monitoring support tickets and escalations regularly.

6. Your Content

A. Ownership

You retain ownership of content you provide (product descriptions, knowledge base, custom guidelines). By providing content, you grant us a limited license to use it solely to provide the Service.

B. Responsibility

You are responsible for ensuring the content you provide does not violate any laws or third-party rights. You warrant that you have the right to use all content you upload to the Service.

7. Our Intellectual Property

The Service, including its design, features, code, and documentation, is owned by evrstacks and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

8. Third-Party Services

The Service integrates with third-party AI providers and payment processors. Your use of these services through our platform is subject to their respective terms. We are not responsible for third-party services' availability, accuracy, or conduct.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with reasonable notice when possible.
  • Make changes to features, pricing, or availability.
  • Suspend service temporarily for security or operational reasons.

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • We do not warrant that the Service will be uninterrupted, secure, or error-free.
  • We do not warrant the accuracy, completeness, or reliability of any AI-generated content.
  • We do not warrant that the Service will meet your specific requirements.

11. Limitation of Liability

To the maximum extent permitted by law, evrstacks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or business opportunities.
  • Damages arising from AI-generated content.
  • Damages arising from service interruptions.
  • Damages arising from unauthorized access to your account.

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless evrstacks and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Cancellation & Data Retention

A. Subscription Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access to the Service until the end of your current billing period.
  • Your subscription will not automatically renew.
  • No refunds are provided for partial billing periods.

B. Data Retention After Cancellation

Following subscription cancellation or account inactivity:

  • 14-Day Retention Period: Your business data (widgets/tenants, products, posts, chat history, support tickets, and related content) will be retained for 14 days after your subscription ends or your account becomes inactive.
  • Automatic Deletion: After the 14-day retention period, all business data will be permanently and automatically deleted from our systems.
  • Account Information: Basic account information (email address, name) may be retained to allow account reactivation and for legal/compliance purposes.
  • Reactivation: If you reactivate your subscription within the 14-day period, your data will be preserved.

C. Account Deletion

You may request permanent account deletion at any time through your account settings. Upon deletion:

  • Your account will be scheduled for deletion with a 14-day grace period.
  • All data will be permanently removed after the grace period.
  • This action cannot be undone once the grace period expires.
  • Active subscriptions will be immediately cancelled.

D. Data Export

We recommend exporting your data before cancelling your subscription. Data export functionality is available in your account settings while your subscription is active.

14. Account Termination

  • You may terminate your account at any time through your account settings or by contacting us.
  • We may suspend or terminate your access at any time for violation of these Terms.
  • Upon termination, your right to use the Service ceases immediately.
  • Data retention after termination follows the policies outlined in Section 13.
  • Sections regarding liability, indemnification, and governing law survive termination.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice in the Service. Your continued use after changes constitutes acceptance of the updated Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and evrstacks regarding the Service and supersede any prior agreements.
